AGREEMENT FOR SUBSCRIPTION TO INTELLIGENTVALUE.COM

This is a binding legal agreement. Do not join the site unless you understand and accept the terms below.

1A) IntelligentValue agrees to make our website, market newsletter, and model portfolio available to you pursuant to the terms and conditions set forth in this agreement. By checking the box next to the statement that says, " I have read and agree with the TERMS and CONDITIONS of this subscription," it means you agree to and are bound by each item on this page.

We may change these terms at any time but will not notify you unless there are material changes. Your continued use of IntelligentValue means that you accept any new or modified terms and conditions. So you may wish to check back on this page from time to time for any material changes.

Here is the first condition that you must agree to before continuing to join the site:

1B) IntelligentValue Newsletter, published by MoneySuccess, Inc. is an an informational service, providing educational material related to various investments. It is not a financial advisory service. We operate as an independent publisher under Section 202(11) of the Investment Advisor's Act of 1940. IntelligentValue Newsletter provides training, educational, and market information services through its web site located at IntelligentValue.com or through referral to affiliated websites. IntelligentValue.com is not registered as an investment adviser. Rather, IntelligentValue.com relies upon the "publisher's exclusion" from the definition of "investment adviser" as provided under Section 202(a)(11) of the Investment Advisers Act of 1940 and corresponding state securities laws. The Site is a bona fide publication of general and regular circulation offering impersonalized investment-related advice to subscribers and/or prospective subscribers (e.g., not tailored to the specific investment needs of each current and/or prospective subscribers).

You agree that under no circumstances will IntelligentValue Newsletter, IntelligentValue.com, MoneySuccess, Inc., nor any of its stock owners, employees, associates or affiliates BE RESPONSIBLE FOR ANY LOSSES YOU INCUR in your investment activities. The suggestions made in this online publication are for informational, educational and entertainment purposes only and the model portfolios are examples of one or more possible investing approaches.

YOU MAY LOSE SOME OR ALL OF YOUR MONEY ANYTIME YOU INVEST IN THE STOCK MARKET. YOU ACCEPT FULL RESPONSIBILITY FOR ANY LOSSES YOU MAY INCUR.

2A) One User per Site, You Cannot Share the Material

By registering, you certify that all information you provide in the registration is accurate. IntelligentValue users may only maintain one active registration. In other words, it's one registration per person. By accepting this agreement, you certify that you personally have no other registration with IntelligentValue.

Further, you agree that you will not share your username/password or other access to IntelligentValue.com with any other person. You will not copy nor duplicate any content in this website to share with another person. All material and charts on the website are copyright protected and further, IntelligentValue may be damaged whether you make a profit from our materials or not. In particular, you may not in any way share the stock picks in IntelligentValue with any other person or publication without explicit written permission from IntelligentValue.com/MoneySuccess, Inc. Violation of this legal requirement is a violation of international copyright law and carries severe legal and criminal penalties.

As a registered user, you can change your password at any time as many times as you choose. Also, if you forget either your password or user name, you can go to this page and by just inserting your e-mail address you'll get your password info e-mailed back to you.

3A) SUBSCRIPTION BILLING POLICIES

Unfortunately, we are forced to deal with a small minority of dishonest people in our society when working with the public. Long experience has determined the following guidelines for refunds, cancellations and subscriptions. To all those with honorable intentions, we apologize that you are required to comply with the following requirements:

All subscriptions are billed automatically until you go to the "Cancellations" page and click the "CANCELLATIONS" button (details below) at the top of the Member's Main page, then follow the instruction on the next page. Free Trial Subscriptions get the first 29 days of the subscription term free and if not cancelled, their credit card will be billed on the 30th day until cancelled. Monthly, Quarterly and Annual subscriptions will be billed on a monthly, quarterly and annual basis, respectively, from your sign up until you ask to stop the subscription by using the automated cancellation page to stop your subscription. There are no notices of renewal sent. You may cancel at any time and your subscription will end on the next renewal date.

3B) Cancellations cannot be processed on the final day of your subscription period. If your trial period is for one month, the subscription must be cancelled on day 29 (or before the anniversary day). Annual subscriptions cancelled on the annual anniversary day (365 days or multiple of 365 after the initial annual sign-up), you will be charged for an additional year but you will not be charged for the subsequent year.

4A) CANCELLATIONS
All cancellations must be submitted via the website. THERE ARE NO EXCEPTIONS. Your cancellation record is based on your log-in information and is designed to protect your personal information, personal portfolios and subscription from being cancelled fraudulently. The site contains personal information you have entered regarding your personal portfolios. Additionally, allowing you to cancel yourself online insures that there are no lost e-mails or confusion about whether you cancelled or not.

Therefore, you must log-in to the site and click the link titled "CANCELLATIONS" at the top of the Member's Main Page then follow the instructions to cancel. YOU CANNOT CANCEL BY E-MAIL or TELEPHONE or ANY OTHER METHOD!

Additionally, your cancellation is documented and you will receive a date and time-stamped receipt in order to maintain a clear paper trail for you, your credit card company, and our company. Your credit card company will receive all documentation of your true CANCELLATION date should you attempt a chargeback.

4B) The website will issue you a Cancellation Confirmation receipt when you cancel. It is your responsibility to keep this receipt to make sure that you are not charged again by error.

If you are billed by the month, please keep your receipt for a couple of months. If you signed up for an annual subscription, please keep your receipt for one year to make sure you aren't charged again in a subsequent year after you cancelled. Although very rare, this is to protect you from potential computer glitches.

4C) TO CANCEL YOUR SUBSCIPTION, simply enter the site using your passwords and click the "CANCELLATIONS" link that appears in the gray bar on the right side at the top of the Member's Main Menu page (http://www.intelligentvalue.com/members/). Follow the instructions on the page and choose the correct button for your situation.

4D) CANCELLATION CONFIRMATION: When you cancel on the website, you will receive a Confirmation of Cancellation e-mail. This e-mail will be sent to both you and the webmaster of the site. The e-mail contains a time stamp of the date and time you cancelled your subscription. You agree that without this Cancellation Confirmation, you have NO RIGHT TO A REFUND OF ANY CHARGES. This confirmation is sent to protect both you and us. We don't want inappropriate accusations that we cancelled your account and deleted your personal portfolio information without your approval, and you don't want someone else canceling your account and deleting all your portfolio and personal information.

IMPORTANT: Should you cancel and not receive the Cancellation Confirmation, please contact us as soon as you can.

TIMING
If you signed up on the 4th of the month, you cannot cancel the next month on the 4th and expect to not be billed. You will be billed automatically by our credit card processor if you do not cancel before midnight 30 days from your subscription date. This charge will be non-refundable and your subscription will not be charge, and your subscription will be terminated on the next monthly/annual billing date.

5A) Free Trial Offer

If you sign up for the Free Trial Offer, you will be charged a processing fee of $1 or $1.25 by our processing bank. This fee is the minimum cost that is charged by our bank to use your credit card as a security instrument. Unfortunately, our processor will not allow us to charge $0.

If you choose to continue your subscription after 29 days, you need not do anything. You will automatically be charged the monthly, quarterly or annual rate after the first 30 days and for the same period thereafter until you cancel your subscription. However, if you cancel your subscription within 29 days of your sign-up, you will not be charged anything further and your access to the site and your subscription service will be terminated at the end of the free-trial month.

Important notice: If you cancel your free trial, you will not be allowed to enjoy another free trial. Obviously, if you have tried the product for a month, you do not need to try it again for a month in order to decide.

*IMPORTANT: If you cancel your subscription and come back later, we have no obligation to accept you again as a paid subscriber. In fact, it is likely that you will NOT be accepted back because we must limit the number of subscribers and will give the first opportunity to those new people that would like to try the site and will be loyal to us.

NO SECOND FREE TRIAL: Our software is designed to stop subscribers from getting multiple free trials. However, sometimes a subscriber will find a way around the system. In this case, if the second free trial is found, we will go ahead and charge your account the full amount - whether it is quarterly, annually or monthly - without prior notice. Obviously, people know that they cannot morally sign up for multiple free trials just to take advantage of our free trial offering.

6A) Refunds (NEW-UPDATED 09-01-2008)
There are no refunds for monthly subscriptions. When you cancel, you will receive a date and time-stamped receipt via e-mail and your account will not be charged again the following month. In the case of an annual subscription, you will be issued a pro-rata refund of charges based on the date and time-stamped receipt issued viss e-mail to both you and our company when you cancel. There is a 6% cancellation-processing fee added to the pro-rata refund of your subscription.

IMPORTANT: To receive the pro-rata refund, you must contact us via e-mail to inform us of your annual subscription cancellation. If you don't do that, we will have no way to know that you deserve a pro-rata refund.

Once you join with a monthly/qaurterly or monthly-trial subscription, and have passed the 30-day free trial, or the paid monthly or quarterly paid subscription, you may cancel at any time and your subscription will expire on the next monthly/quarterly anniversary date that you are to be rebilled. Your passwords will be automatically removed upon expiration.

7A) Renewal
All charges will be renewed on a monthly, quarterly, or annual basis, depending on your sign-up, until the subscription is cancelled.

8A) No Refunds for Non-Receipt
YOUR OBLIGATIONS ON NON RECIEPT: IntelligentValue sends out a confirmation e-mail as well as a weekly e-mail notice to tell you that our "Monday Morning Buy-Sell Alert (MMBSA)" is ready online. If you do not receive any e-mails, you cannot contact us and tell us that you didn't get anything and want a full refund of all fees. It is your obligation to contact us as soon as possible at this location to let us know that you are not receiving our notification e-mails. Additionally, we send out nothing of value by e-mail. All materials of value are provided on the website and not by e-mail. Generally, you should check the website on Sunday evening and you will find the latest newsletter or "Monday Morning Buy-Sell Alert" listed on the right-hand menu. Any mid-week changes are sent out by e-mail, but are also posted on the site at the same time.

If you are not receiving our e-mails: Simply click the "Update Your Info" link at the top of the Member's Main Page to correct your e-mail address. If your e-mail address is correct, check your spam box. Enable your spam filter to receive our mail from *.intelligentvalue.com.

9A) Right of Refusal
IntelligentValue may refuse your subscription at any time. We may place a limit on the number of subscribers in the future and we may refuse your attempt to obtain a subscription. If we limit new memberships, we will give first access to new subscribers that have never had a free trial or have never canceled. If you cancel your subscription, it is possible that you will not be able to join again. If you attempt to rejoin after canceling, you may be asked to submit a short application for reinstatement.

10A) Your Obligations
You are obligated to assess your own financial situation or to consult with a Certified Financial Advisor (CFA) to help you assess your financial situation and determine if it is appropriate for you to invest in the stock market and if it is appropriate to invest using the IntelligentValue methods of investing. Neither IntelligentValue Newsletter nor MoneySuccess, Inc. are Financial Advisors and we have no knowledge of your personal financial or emotional suitability to invest in the stock market. You are obligated to take full responsibility for the investment decisions you make. Further, you are obligated to consult with a Financial Advisor or to self-assess whether the IntelligentValue newsletter's approach is appropriate for your personal financial situation. The IntelligentValue Newsletter's approach is to use multiple portfolios with seperate approaches to attempt to achieve higher-than-average returns. This approach may not be appropriate for your situation.

We don't know your personal situation, financial wherewithal, or risk propensity etc. You need to ask a professional financial advisor to assist you in managing the funds that you want to invest. Either you or your financial advisor must decide whether the investments that we use in our model portfolios are appropriate for you.

Neither IntelligentValue Newsletter, IntelligentValue.com, nor MoneySuccess, Inc. ARE RESPONSIBLE FOR ANY LOSSES YOU INCUR IN YOUR INVESTMENTS. YOU MAY LOSE SOME OR ALL OF YOUR MONEY ANYTIME YOU INVEST IN THE STOCK MARKET. IF YOU DO NOT ACCEPT THIS STATEMENT, PLEASE DO NOT CONTINUE WITH YOUR MEMBERSHIP TO THE SITE.

10B) E-Mail Obligations
You are obligated to maintain the proper e-mail address so that our correspondence reaches you. You may change your e-mail address at any time by using the link, "UPDATE YOUR INFO" on the Member's Main page. You are responsible for enabling all spam software or other security systems to allow our e-mail to reach you. AOL and Hotmail.com are notorious for blocking our mail to you. If you have entered your proper e-mail address and have not received our mail, please look in your spam or junk mail folder. Our system works flawlessly so far, and anytime we are accused of not sending our e-mails, the subscriber almost always finds it in their spam box after we suggest looking there. If you do not receive an e-mail alert to buy or sell stocks, we have no obligation for any losses or missed opportunities that occurred. Receiving our correspondence is your obligation.

11A) Our Obligations
It is our obligation to present information that we believe to be accurate and which we feel is useful to subscribers. We are not Financial Advisors and we have no obligation nor will we advise you in any way regarding your personal financial situation. We present our views on the market and individual stocks and we provide a model portfolio, but we have no idea if these suggestions are appropriate for you and your situation or if they will be helpful to you. The stock market entails high risks and you can lose your money anytime you invest in the stock market. If you do not have money you can afford to lose, you should not be investing in the stock market.

It is our policy to never advocate the purchase or sale of any individual investment vehicle. The reports, commentary, discussion, etc. contained on this site are strictly intended to provoke thought and reflection on the part of the reader as they form their own opinions of such investment securities or issues. By accessing our website, the reader agrees to absolve and completely hold harmless IntelligentValue.com, MoneySuccess, Inc., and its shareholders and associates, from any and all perceived advisory role and any liability related to investment (or speculative) outcomes realized by the reader/subscriber.

12A) STOCK SUGGESTIONS

Trailing Stop Loss Suggestions

We provide a Trailing Stop Loss (TSL) - or as we call it, a "Trailing STop Profit" suggestion for each stock in our model portfolio. A Trailing Stop Profit is designed to prevent drastic loss or, more likely to lock in profits. You should register the TSL for each stock with your broker to protect your investments. Although we provide the % suggestions, the calculations of TSL prices and all other financial data on our website is provided by an independent third party, FinancialContent.com The Trailing Stop Loss column in our model portfolio is subject to errors and revisions and cannot be relied upon for absolute selling rules.

The "TSL/TSP" column in our portfolio is a suggested sell price in case a stock experiences a deep decline on bad news. However, we have seen errors in the calculations and the numbers in the portfolio cannot be relied upon completely because of errors in price information transmitted via the financial networks. Your TSL/TSP should be placed with your broker and the TSL/TSP we suggest should only be used as a reference so you can refer to your broker's website to check the status of your stock.

TSL/TSP Notification: We will send an e-mail to your registered e-mail address if a stock is sold from the portfolio based on the information above, but it is YOUR RESPONSIBILITY to receive this e-mail as a suggestion and act upon it - or protect yourself from financial loss by previously placing a Trailing Stop Loss order with your broker as suggested. However, we cannot recommend a Trailing Stop Loss that is appropriate for you and your financial situation. The TSLs shown in the website are a suggestion to match the mechanical trading systems that we use to create our portfolio.

Our Purchase or Sale of Stocks
We will never purchase or sell stocks before they are available to our subscribers. We receive the updates of our information from a third-party vendor once per week around Saturday at noon. From that time on, we do our analysis of the data that has been made available to us. On Sunday evening we make our personal stock picks available. You are free to analyze those picks and see if they are appropriate to your situation, but there is no way possible for us to purchase stocks before the market opens at the same time it opens for you. We pledge to you that we will never make a stock sale or purchase prior to its publication to our subscribers. Period.

Ownership of Stocks
Either the corporation, the corporate officers or the officer's family members may actively take positions in some or all of the stocks recommended in our portfolios to help us assess the success of the portfolio picks and to increase our personal wealth. One thing we will NOT DO: buy a stock before it is available to be purchased by the public after our recommendation.

You agree that the proper forum for any claim arising under this Agreement will be the U.S. Court for the Eastern District of Colorado or the appropriate Colorado state court.
